    Terms and Conditions of Service

    This agreement governs the relationship between Soniply Media LLC (hereinafter, "The Company", "Soniply", or "Soniply Distro") and the Artist, Label, or User (hereinafter, "The Licensor").

    By using our services at soniply.com and its subdomains, you accept the following terms and conditions in their entirety.

    1. Grant of Rights

    The Licensor grants Soniply Distro a non-exclusive, worldwide license during the term of the agreement to distribute, reproduce, display, and monetize their musical and audiovisual content on digital platforms (DSPs) such as Spotify, Apple Music, YouTube, TikTok, and other commercial partners integrated into our distribution network. You retain 100% legal and intellectual ownership of your master recordings at all times.

    2. AI-Generated Content

    Soniply supports innovation and the human use of neural networks and Artificial Intelligence tools for creative assistance. However, to protect the integrity of our global distribution network, we establish the following strict requirements:

    • Commercial Ownership: The Licensor expressly guarantees that they own the commercial rights to any external or internal AI tool used (e.g., use of base models provided by the platform that confer rights according to the activated plan).
    • Significant Human Intervention: 100% AI-generated content lacking significant human creative contribution in composition, final production, mixing, mastering, or vocalization will not be accepted.
    • AI Labeling: It is absolutely mandatory to mark the content as "AI-Generated" in the release metadata if the final stores and streaming platforms require it at the time of publication.
    • Qualitative Responsibility: Soniply Distro reserves the right to unilaterally reject or remove content that sounds purely robotic, inert, or that can be classified by audio software as "Noise" (white noise, generative without structure) by the stores.

    3. Anti-Fraud & Artificial Streams Policy

    We deeply reject streaming fraud. Our network exists for legitimate music creators. We have zero tolerance for click-fraud or streaming farmed by bots.

    • Audits: If a major platform (like Spotify or Apple Music) notifies proven suspicious or artificial streaming activity on their servers, Soniply Distro will withhold the royalties of said release/licensor indefinitely until the store concludes its investigation and releases the funds.
    • Fines: We encourage lawful behavior. The Licensor expressly agrees that any financial fine or penalty fee (dispute fee) imposed by the stores on Soniply due to direct user fraud will be discounted, debited, or charged from the final balance corresponding to the Licensor from this or any other release under their account.
    • Termination: Proven and recurrent fraud will result in the permanent, peremptory, and immediate deletion of the account, and the interruption of digital distribution without the right to a refund of any subscription fee paid to Soniply Media LLC.

    4. Commission and Payment Model

    By using Soniply Distro's tools, you accept our royalty and revenue-sharing mechanism under the following guidelines:

    • Subscription Plans: Your subscription fee (Monthly or Annual) is the entry ticket to the platform and includes both the AI suite and distribution according to your plan's limit. An annual payment consolidates distributed access to 12 months of service.
    • Base Commissions: Depending on the plan activated at the time of accrual, Soniply will retain a margin ranging from 5% to 15% of the gross royalties collected from the platforms, as a cost for maintaining its commercial contracts with DSPs.
    • Administration Model (MCN/Elite): For those accounts managed under a direct agency or Elite system where Soniply assumes aggressive marketing tasks in the network, the gross royalty retention rate will be set between 25% to 30% for personnel costs, MCN (Multi-Channel Network), and marketing administration (stipulated through an annexed service level agreement (SLA)).
    • Balance Withdrawals: The Licensor may request the withdrawal of their invoiced capital provided that their liquid and audit-cleared balance reaches the minimum threshold of one hundred US dollars ($100 USD).
    • Reception Methods: Once approved, requested payments exceeding the minimum barrier will be processed and delivered at no direct cost from us using gateways such as PayPal, International Wire Transfer, or local transfer platforms located and available in the Dominican Republic or others designated in the future.

    5. Legal Liability (Indemnification)

    The Licensor and Account Holder understands that they are the sole and absolute civilly responsible party for any copyright infringement, the use of unauthorized (or un-cleared) third-party samples, proven plagiarism of previous compositions, or underlying defamation contained in the audio commercialized under their user.

    Consequently, The Licensor agrees, promises, and assumes the responsibility to indemnify, provide appropriate defense, and hold completely harmless from any litigious lawsuit, economic loss, temporary or final embargo, and claim to Soniply Media LLC, its executives, corporate representatives, affiliates, logistical partners (including B2B metadata chain partners), regarding a claim from a legitimate third party in the matter derived from their contents.

    6. Quality Control, Review, and Timing (QC)

    Soniply Distro will rigorously review each musical upload and metadata in an estimated period of 3 to 7 business days following its formal submission on our platform.

    The final approval of any release for market insertion is not automatic: it depends strictly on the uploaded content complying with all audio format guidelines, validated cover art, and textual quality standards of the allied stores.

    Once this stage is concluded, Soniply cannot explicitly guarantee that each particular store accepts publishing the content within the time established by the Licensor if it infringes (totally or partially) the internal corporate policies of the receiving platform independent of our base review.
