    Terms and Conditions of Service

    This agreement governs the relationship between Soniply Media LLC (hereinafter, "The Company", "Soniply", or "Soniply Distro"), and the Artist, Label, or User (hereinafter, "The Licensor" or "You").

    By accessing, browsing, or using our services at soniply.com, soniplydistro.com, and their subdomains (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety. If you do not accept these terms, you must not use the Service.

    1. Service Description & Our Role

    Soniply provides tools leveraging artificial intelligence and machine learning to assist users in generating audio and visual content (the "AI Services"), as well as a distribution network (the "Distribution Services") to monetize such content on digital streaming platforms (DSPs).

    Processing Tool Classification: You expressly acknowledge that Soniply operates merely as a technological intermediary and processing tool. All creative control, inputs (prompts, lyrics, audio), and the ultimate decision to publish, distribute, or share the generated content rests entirely and exclusively with you.

    2. AI-Generated Content: Rights and Ownership

    The Service allows you to submit inputs (lyrics, prompts, or audio) ("Submissions") to generate musical or audio outputs ("Outputs"). Your rights to the Outputs depend on your active subscription tier at the time of generation:

    • Free Tier Users: Outputs generated while on a free tier are granted to you solely for lawful, internal, personal, and non-commercial purposes. You must provide clear attribution to Soniply when sharing these Outputs. You do not own the commercial rights to these Outputs; they remain the property of Soniply.
    • Paid Tier Users (Vibe, Artist Pro, Label Boss): Subject to your compliance with these Terms, to the maximum extent permitted by applicable law, Soniply waives any and all claims to the Outputs generated by Paid Users and permits their commercial exploitation. However, Soniply makes no claim of ownership, nor does it guarantee that any Output is capable of being copyrighted under US law. You are granted commercial use rights, allowing you to monetize the songs without Soniply claiming a stake in the earnings beyond standard distribution commissions.

    IMPORTANT NOTICE REGARDING COPYRIGHT: Due to the nature of machine learning, Soniply makes NO representation or warranty that any Output will qualify for copyright protection. Copyright qualification is determined by your region's copyright office. Furthermore, Outputs may not be unique, and other users may generate similar Outputs.

    3. User Warranties and Originality Guarantee

    You are solely responsible for any Submissions you make available to the Service. By uploading or providing any Submission (including lyrics, prompts, or reference audio), you represent and warrant that:

    • You have obtained all rights, licenses, consents, and permissions necessary to submit such content.
    • Originality Guarantee: Your Submissions do NOT infringe, violate, or misappropriate any third party's intellectual property rights, copyrights, or rights of publicity.
    • Prohibition of Trademarks & Public Figures: You will not use the Service to input lyrics owned by third parties, nor will you use prompts containing the names of real artists, commercial entities, or public figures with the intent of mimicking their proprietary style or voice.

    4. Proactive Technical Filters & Restrictions

    Soniply reserves the right to implement technical filters, including but not limited to, Known Lyrics Validators and Keyword Blacklists (e.g., blocking commercial artist names). We may reject any Submission or Output that triggers these filters. Furthermore, you agree NOT to:

    • Circumvent, reverse-engineer, or attempt to disable our technical protections.
    • Use the Service to generate hateful, illegal, defamatory, or abusive content.
    • Use the Outputs to train competing artificial intelligence models.

    5. DMCA Safe Harbor & Copyright Complaints

    Soniply respects the intellectual property of others and complies with the Digital Millennium Copyright Act (DMCA). As a registered DMCA Agent, we offer a Safe Harbor for user-generated content.

    Takedown Notice: If you believe your copyrighted work has been infringed by a user of our Service, please send a written notification to our Legal Department at legal@soniply.com or via mail to:

    Your notice must include your physical/electronic signature, identification of the infringed work, location of the infringing material on our Service, your contact information, and a statement made under penalty of perjury that you are authorized to act on behalf of the copyright owner. Soniply will promptly remove or disable access to the disputed content upon receipt of a valid notice.

    Repeat Infringer Policy: In accordance with the DMCA and other applicable law, Soniply has adopted a policy of terminating, in appropriate circumstances and at Soniply's sole discretion, users who are deemed to be repeat infringers.

    6. Distribution Services (Soniply Distro)

    If you choose to distribute your Outputs or other musical content via Soniply Distro, the following rules apply:

    • Significant Human Intervention: 100% AI-generated content lacking significant human creative contribution will not be accepted for DSP distribution.
    • AI Labeling: It is mandatory to mark content as "AI-Generated" in the metadata if DSPs require it.
    • Quality Control (QC): We review uploads within 3-7 business days. We reserve the right to reject content classified as "Noise".
    • Commissions: Soniply retains a margin of 5% to 15% of gross royalties (or 25% to 30% for Elite/MCN managed accounts).
    • Withdrawals: The minimum withdrawal threshold is $100 USD of audited, liquid balance.

    7. Anti-Fraud & Artificial Streams Policy

    We have ZERO TOLERANCE for click-fraud or bot-farmed streaming.

    • Audits: Suspected artificial activity will result in indefinite royalty withholding pending DSP investigation.
    • Fines: You expressly agree that any financial fine or dispute fee imposed by DSPs due to your direct fraud will be deducted from your account balance.
    • Termination: Proven fraud results in immediate, permanent account deletion without refunds.

    8. Strict Indemnification & Operational Damage

    You agree to indemnify, defend, and hold completely harmless Soniply Media LLC, its executives, affiliates, and logistical partners from any losses, damages, legal expenses (including reasonable attorneys' fees), lawsuits, or claims arising out of or relating to:

    • Your use of the Service (including AI generation and Distribution).
    • Any copyright infringement, unauthorized sampling, or plagiarism committed by you.
    • Your violation of these Terms or any applicable laws.

    Responsibility for Operational Damage and Service Interruption: If your fraudulent or infringing content results in the suspension, termination, or penalization of Soniply's developer or distributor accounts with any DSP (like Spotify or Apple Music), you shall be held liable for all direct and consequential damages, including lost revenue from other users' catalog, and legal fees incurred to reinstate the service.

    9. Disclaimer of Warranties & Limitation of Liability

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SONIPLY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

    IN NO EVENT WILL SONIPLY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID SONIPLY IN THE LAST THREE (3) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

    10. Dispute Resolution By Binding Arbitration

    Please read this section carefully as it affects your rights.

    Agreement to Arbitrate: Any dispute or claim arising out of or relating to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than a court.

    Jurisdiction and Rules: Arbitration will be conducted under the rules of the American Arbitration Association (AAA) and under the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. The exclusive venue for any arbitration proceedings or permitted court actions shall be Cheyenne, Wyoming.

    Costs of Arbitration: Each party shall bear its own attorneys' fees and expenses. The AAA administrative fees shall be divided according to AAA rules; however, if the arbitrator determines that your claim was frivolous or brought in bad faith, you agree to reimburse Soniply for all AAA fees and costs incurred in responding to the arbitration.

    Class Action Waiver: YOU AND SONIPLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
